Terms of Service

These Terms of Service ("Terms") govern your access to and use of Ueldox, a digital asset management service for organizing, searching, and sharing photos and videos ("Ueldox," "we," "us"). By creating an account or using Ueldox, you agree to these Terms.
1. Who we are
Ueldox is operated by Romuel N. Baltonado, an individual doing business as Ueldox, based in the Philippines. Throughout these Terms, "we," "us," and "our" refer to Ueldox.
2. Accounts
You must be at least 18 years old to create an account. You're responsible for keeping your login credentials secure and for all activity under your account. You can sign in with an email/password or with Google. Each account belongs to one or more "workspaces" — the shared photo/video library for your organization or team.
3. Subscriptions and billing
Ueldox offers a free Starter plan and paid plans (Solo, Team, Business) billed monthly in advance, in USD. By subscribing to a paid plan, you authorize us (or our payment processor) to charge your payment method on a recurring basis until you cancel. Prices and plan limits are shown on our billing page and may change with reasonable notice.
You can upgrade, downgrade, or cancel your subscription at any time from your workspace's billing page. Cancelling stops future charges; your plan remains active until the end of the period you already paid for, after which your workspace moves to the free Starter plan.

4. Your content
You keep ownership of the photos, videos, and other content you upload to Ueldox ("Your Content"). You grant us a limited license to store, process, display, and — where you've enabled it — watermark Your Content, solely to provide and improve the service for you and your workspace. We don't claim ownership of Your Content and won't use it for anything outside operating Ueldox for you.
You're responsible for making sure you have the rights to upload and share Your Content, and that it doesn't violate anyone else's rights or the law.
5. AI-powered search and tagging
Ueldox uses an AI model (CLIP) to power visual search and suggested tags. This model runs entirely on our own servers — Your Content is not sent to a third-party AI provider for this feature.
6. Acceptable use
- Don't upload content that's illegal, infringing, or that you don't have the rights to share.
- Don't attempt to disrupt, reverse-engineer, or gain unauthorized access to Ueldox or other workspaces.
- Don't use Ueldox to store or distribute malware or harmful content.
- Respect the access level (owner, admin, member, viewer) assigned to you within a workspace.
7. Termination
You can delete your account or workspace at any time by contacting us. We may suspend or terminate access if these Terms are violated, with notice where reasonably possible. Upon termination, Your Content is deleted from our systems within a reasonable period, except where we're required to retain records (e.g., billing history).
8. Service availability
Ueldox is provided "as is." We work to keep the service reliable, but we don't guarantee uninterrupted or error-free availability. Ueldox is under active development, and features may be added, changed, or improved over time.
9. Limitation of liability
To the fullest extent permitted by law, Ueldox and its operator are not liable for any indirect, incidental, or consequential damages arising from your use of the service. Our total liability for any claim relating to Ueldox is limited to the amount you paid us in the 12 months before the claim arose.
10. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll post the update here with a new "Last updated" date. Continued use of Ueldox after changes take effect means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.
